Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern your access to and use of Caliber, a product of Masternode LLC, a North Carolina limited liability company (“Caliber”, “we”, “us”), including our website, dashboard, APIs, and tool integrations (collectively, the “Service”). By creating an account, installing our hooks, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.
If you do not agree to these Terms, do not use the Service.
2. The Service
Caliber measures how effectively engineering teams use AI coding tools by capturing developer-side telemetry from supported clients (including Claude Code, Cursor, and Codex CLI) and producing an Intelligence Factor score and related analytics. The Service is intended for use by engineering organizations and their developers for internal measurement and coaching.
3. Accounts and eligibility
You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. Notify us promptly at legal@caliber.dev if you suspect unauthorized access.
Team managers who create a team on Caliber represent that they are authorized to do so on behalf of their organization and to bind that organization to these Terms.
4. Acceptable use
You agree not to:
- Use the Service to violate any law, regulation, or third-party right;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits;
- Circumvent rate limits, access controls, or authentication mechanisms;
- Use the Service to build a competing product, or to benchmark it for publication without our written consent;
- Upload or transmit malicious code, or interfere with the operation of the Service or its underlying infrastructure;
- Install Caliber hooks on a developer's machine without their knowledge and consent.
5. Customer data and telemetry
When you install Caliber hooks, the Service receives telemetry events describing developer interactions with AI coding tools (such as prompts submitted by the developer, tool invocation metadata, and permission responses). We deliberately do not capture AI-generated output, source file contents, or the responses returned by AI coding tools.
You retain all rights in data you submit to the Service (“Customer Data”). You grant Caliber a limited, non-exclusive license to host, process, and analyze Customer Data solely to operate, maintain, secure, and improve the Service for you. Our handling of personal data is further described in our Privacy Policy.
You represent that you have all rights and consents necessary to provide Customer Data to Caliber and to allow us to process it as described in these Terms.
6. Fees and billing
During our early-access period, paid plans are billed through manual invoicing on the cadence agreed with your team (typically monthly or quarterly in arrears), based on the number of active developer seats configured with Caliber hooks. Managers with view-only access do not count as developer seats.
Invoices are due within 30 days of issuance unless another term is agreed in writing. Unpaid invoices may result in suspension of the Service after reasonable notice. Except as required by law, fees are non-refundable once paid.
7. Intellectual property
Caliber and its licensors retain all right, title, and interest in and to the Service, including all software, documentation, scoring algorithms, and trademarks. These Terms do not grant you any rights in the Service other than the limited right to use it in accordance with these Terms.
If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free license to use that feedback without restriction.
8. Confidentiality
Each party may have access to non-public information of the other (“Confidential Information”). Each party agrees to protect the other's Confidential Information with the same degree of care it uses for its own, and not to disclose it except to personnel or contractors who need to know and are bound by comparable obligations.
9. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Caliber disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Caliber does not warrant that the Service will be uninterrupted, error-free, or that Intelligence Factor scores will predict any particular engineering outcome.
Caliber is a measurement tool. Hiring, performance, or compensation decisions based in whole or in part on Caliber scores are made solely by you, at your own risk, and subject to applicable employment laws.
10. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the Service. Caliber's total aggregate liability arising out of or related to these Terms will not exceed the greater of (a) the fees paid by you to Caliber in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
11. Term and termination
These Terms remain in effect until terminated. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if continuing to provide the Service becomes commercially impracticable. Sections that by their nature should survive termination will survive.
12. Changes to the Service or Terms
We may update the Service or these Terms from time to time. If we make a material change to these Terms, we will give reasonable notice (for example, by email or via the dashboard). Continued use of the Service after the effective date of the update constitutes acceptance of the revised Terms.
13. Governing law
These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Orange County, North Carolina for any dispute arising out of or related to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.
